This agreement (Agreement) is entered into by and between ________________________________ (Association) and NationwideAccounting.net. (Nationwide), collectively referred to as the parties (Parties).

The Parties acknowledge that the Association has been suspended by the California Secretary of State and:

• Cannot file lawsuits or defend itself against lawsuits,
• Cannot enforce contracts,
• Can lose its corporate name if someone reserves its name during the suspension period, and
• Can lose its right to obtain an extension to file tax returns.

The parties agree that for a flat fee of $200, Nationwide shall contact the Franchise Tax Board and California Secretary of State in order to determine what needs to be done in order to reinstate the Association. In addition, Nationwide shall provide the Association with the cost of reinstating the corporate status, including the filing of any documents and payment of taxes, penalties, and any fees owing. Association may utilize the services of Nationwide, but shall have no obligation to do so.
